This Agreement is between Context Corner, operating as Dental Growth Network ("DGN") (the "Company"), and the undersigned (the "Contributor").
The Contributor agrees to: participate in online dental communities by sharing honest, experience-based recommendations; produce content based on genuine experience; refer professionals via Company-provided links; submit weekly activity logs; and complete training. The Company assigns specific communities and provides free product trials. Products must be used for 5+ days before recommending.
The Contributor is an independent contractor, not an employee. Not entitled to benefits. Responsible for all taxes (1099-NEC issued for $600+/year). Retains discretion over schedule and methods. May not simultaneously participate in any competing paid contributor, ambassador, or referral program for any dental software company.

Contingent on Company approval. Bi-weekly direct deposit. Company records are definitive for attribution. Rates modifiable with 30 days notice. Clawback: Fraudulent submissions subject to payment withholding, offset, and recovery.
Authenticity required. 5:1 ratio (helpful comments to product mentions). No unsolicited promotion. No public links (DM only). No duplicate content. No competitor disparagement. Comply with community rules. Report warnings immediately. No conduct (online or offline) that damages Company reputation — grounds for immediate termination.
Contributor acknowledges material connection. Must disclose relationship when recommending (e.g., "I'm part of a dental professional network and get perks for sharing"). Must not claim to be unbiased if asked. No false or misleading claims.
Confidential Information: strategies, partner identities/agreements, compensation, messaging frameworks, community mapping, contributor identities/earnings, organizational structure/affiliations, ALL internal communications (Slack, email, meetings, training).
Non-disclosure obligation: 3 years post-termination. No screenshots, recordings, copying, or forwarding of internal communications. No recording of training sessions without written consent.
Injunctive Relief: Breach causes irreparable harm. Company may seek court injunction without proving damages or posting bond. Liquidated Damages: $10,000 per occurrence for material breach, plus injunctive relief. Does not limit actual damages if they exceed liquidated amount.
All content is work-for-hire owned by Company. Company materials remain Company property. Post-termination (7 days): cease using materials, delete from devices, deactivate referral links, stop identifying as DGN contributor. No leveraging DGN contacts for competing products for 12 months.
Partner non-solicitation (12 months): No direct arrangements with DGN partners. Contributor non-solicitation (6 months): No recruiting DGN contributors away. Non-circumvention: No bypassing referral tracking, no directing prospects through non-DGN channels, no side deals with partners. Violation = immediate termination + forfeiture of pending compensation. If any restriction found overbroad, court shall reform rather than void.
Personal info received via DMs used solely for referrals, never stored/compiled/sold, deleted on termination.
Contributor consents to experience verification and activity audits. Must cooperate within 5 business days.
2+ years dental experience; legal age/capacity; not in competing programs; truthful application; law compliance; no fraud-related felonies (7 years); no conflicting restrictive covenants.
Either party: 7 days written notice. Immediate termination for: breach of Sections 4/5/6/8; fraud; banned from 2+ communities; 3+ weeks missed logs; misrepresentation; reputation damage; competing networks; circumvention. Approved unpaid compensation paid (less clawbacks). Sections 6, 7, 8, 9, 11, 13–18 survive.
Liability: No guaranteed earnings. Max liability = 3 months compensation. Disputes: Texas law, AAA arbitration in Dallas. Prevailing party recovers fees for confidentiality/non-solicitation disputes. CLASS ACTION WAIVER. Small claims exception. Injunctive relief in court. Indemnification: Contributor indemnifies Company. Non-Disparagement: Mutual. Force Majeure: Platform changes, outages; termination after 60 days. General: Entire agreement; written amendments only; severability; e-signatures valid.
